These Terms and Conditions govern the use of the ReinoSpace website and the provision of services by ReinoSpace (“ReinoSpace”, “we”, “us” or “our”) to individuals, businesses, property owners, developers, institutions and other clients (“Client”, “you” or “your”).
ReinoSpace provides renovation, remodeling, interior design, space planning, architectural design coordination, interior decoration, POP ceiling installation, drywall installation, painting, lighting design, feature walls, mural painting, art integration, material sourcing and related project coordination services.
By using our website, submitting an enquiry, requesting a quotation, accepting a proposal or engaging our services, you agree to the terms applicable to that activity. Entering into a project contract does not require acceptance of unrelated website terms beyond those applicable to the contract.
A binding project agreement is formed only when the applicable quotation or proposal has been accepted in the agreed manner and any stated conditions for commencement have been satisfied.
Nothing in these Terms excludes or limits any right or remedy that cannot lawfully be excluded or limited under applicable law.
For the purposes of these Terms:
Services: The design, renovation, remodeling, installation, finishing, artistic, consultancy, procurement and project coordination services expressly agreed between ReinoSpace and the Client.
Quotation: A written estimate or proposal specifying the agreed price, scope, assumptions, exclusions and any applicable payment schedule.
Project Agreement: The accepted quotation, proposal, statement of work, drawings, specifications, approved variations and other documents expressly incorporated into the agreement.
Project Site: The property or premises at which the Services are to be performed.
Variation: An approved change to the original scope, materials, design, quantities, specifications, programme or price.
Practical Completion: The stage at which the agreed works are substantially complete and the Project Site can reasonably be used for its intended purpose, subject to minor outstanding items.
Business Day: A day other than a Saturday, Sunday or public holiday applicable to the relevant project location, unless otherwise agreed.
3.1. ReinoSpace will perform only the services described in the accepted Project Agreement.
3.2. Services may include residential and commercial renovation, office remodeling, interior design, space planning, finishes, painting, POP ceilings, drywall partitions, lighting coordination, murals, art installations, procurement and project supervision.
3.3. Services advertised on the website are general descriptions of our capabilities and do not automatically form part of an individual Client’s contract.
3.4. Unless expressly included in writing, a quotation does not include structural engineering, architectural certification, quantity surveying, specialist testing, statutory applications, permit fees, estate management fees, utility connection charges, hazardous-material remediation, specialist surveys, security services or other professional services outside the agreed scope.
3.5. Where a project requires a separately registered or licensed professional, ReinoSpace will clarify the relevant scope and professional engagement arrangements before the work proceeds. No professional certification or approval will be represented as having been obtained unless it has actually been issued by the appropriate person or authority.
3.6. Verbal discussions, preliminary concepts, website photographs, social media posts and illustrative examples do not amend an accepted Project Agreement unless the change is subsequently approved in writing.
4.1. Quotations will be prepared using the information available at the time, including the proposed scope, site conditions, dimensions, material specifications, location and anticipated labour requirements.
4.2. A quotation is valid for the period stated in the document. If no period is specified, ReinoSpace may confirm or revise the quotation before acceptance where costs, availability or project assumptions have materially changed.
4.3. Online prices, indicative costs and general pricing guidance are not binding quotations unless expressly identified as such.
4.4. The final project price may depend on a site inspection, measurements, approved drawings, material selections, access conditions and the discovery of concealed conditions.
4.5. Where a quotation is based on assumptions, allowances or provisional quantities, those items will be identified where reasonably practicable. Any resulting adjustment must be explained and agreed in accordance with the Project Agreement.
4.6. VAT and other applicable taxes will be treated as required by law and identified in the quotation where applicable. No tax exemption is implied unless legally available and properly documented.
4.7. A Client must review the quotation and raise any questions before accepting it. Acceptance confirms agreement to the stated scope, price, payment terms, assumptions and exclusions, subject to applicable law.
5.1. Deposits, mobilisation payments, design fees, procurement payments and progress payments will be specified in the accepted Project Agreement.
5.2. ReinoSpace is not required to commence work, purchase materials or reserve labour until the applicable commencement conditions, including agreed initial payments, have been met.
5.3. Invoices are payable by the due dates stated in the Project Agreement or invoice. The Client must use the payment details officially supplied by ReinoSpace and should independently verify any notified change to those details before transferring funds.
5.4. Where payment is linked to project milestones, the relevant milestones and payment amounts or percentages will be stated in the Project Agreement.
5.5. Where a Client disputes part of an invoice, the Client should notify ReinoSpace promptly in writing, explain the basis of the dispute and pay any undisputed amount by its due date, subject to applicable law and the contract.
5.6. If an undisputed amount remains overdue, ReinoSpace may issue written notice requiring payment. If the default continues after any applicable contractual cure period, ReinoSpace may suspend affected work, delay procurement or exercise other lawful contractual remedies.
5.7. Any contractual interest, late-payment charge, recovery cost or administrative fee must be expressly disclosed, reasonably calculated and legally enforceable. No undisclosed fee will be imposed retrospectively.
5.8. Payments made to suppliers or third parties will be credited or accounted for according to the agreed procurement and payment arrangements.
5.9. ReinoSpace will not treat a deposit as automatically non-refundable in every circumstance. Refunds and deductions will be determined under the cancellation terms, work performed, costs properly incurred, applicable contract and mandatory legal requirements.
6.1. Design consultations, site visits, concept development, drawings, 3D visualisations, material schedules and detailed specifications are chargeable where the quotation states that they are chargeable.
6.2. The quotation will identify the design deliverables included, the number of revision rounds where applicable, and any additional charges for revisions beyond that allowance.
6.3. The Client is responsible for reviewing and approving layouts, drawings, finishes, colour selections, fixtures, artwork concepts and other submitted design decisions within a reasonable agreed period.
6.4. Written approval may be given by email, an agreed messaging channel or a signed approval document, provided the approval can reasonably be attributed to the Client or an authorised representative.
6.5. Changes requested after approval may affect the project price, delivery schedule, procurement commitments and work already completed.
6.6. ReinoSpace will explain the material effect of a proposed Variation and obtain the Client’s approval before undertaking chargeable additional work, except where immediate action is reasonably necessary to address an urgent safety risk or prevent imminent material damage. Any such emergency action and associated cost must be reasonably justified and communicated as soon as practicable.
6.7. The Client must not rely on an informal conversation as approval of a new price or scope. Variations should be documented before implementation.
The Client agrees to:
7.1. Provide accurate information about the property, project requirements, budget, intended use and relevant site conditions.
7.2. Confirm that they own the property or have sufficient authority from the owner to commission the work.
7.3. Obtain the consent of any co-owner, landlord, property manager, estate association or other party whose approval is required for the proposed works.
7.4. Provide timely access to the Project Site, including agreed working hours, access credentials, parking, loading arrangements and reasonable facilities required for the work.
7.5. Disclose known structural defects, water leaks, electrical faults, plumbing problems, pest infestations, hazardous materials, building restrictions and other conditions that may affect the project.
7.6. Make timely decisions, provide approvals, select materials and settle invoices in accordance with the Project Agreement.
7.7. Keep children, pets, unauthorised visitors and personal belongings away from restricted work areas and comply with reasonable site-safety instructions.
7.8. Notify ReinoSpace of relevant building rules, restrictions on noise or working hours, security procedures and requirements for protecting neighbouring properties.
7.9. Avoid instructing workers or subcontractors to carry out additional work outside the agreed scope without the authorised project representative’s approval.
7.10. Maintain any insurance or property protection that is the Client’s responsibility under the Project Agreement.
If the Client’s failure to meet these obligations causes delay, additional cost or disruption, ReinoSpace may request an appropriate adjustment to the schedule or price, provided the cause and proposed adjustment are documented and handled under the Project Agreement.
8.1. Site inspections and preliminary assessments are based on conditions reasonably observable at the time. They do not guarantee that every concealed defect or hidden service has been identified.
8.2. Renovation may reveal concealed plumbing, electrical wiring, dampness, corrosion, structural deterioration, defective previous workmanship, infestation, unsafe installations or other conditions not reasonably identifiable before opening up the relevant area.
8.3. If an unforeseen condition materially affects the work, ReinoSpace may pause the affected activity, secure the area where reasonably necessary and inform the Client of the findings.
8.4. ReinoSpace will explain the reasonably available options, anticipated additional work, cost implications and potential delay before proceeding with non-emergency additional work.
8.5. Additional work arising from unforeseen conditions is not automatically included in the original quotation unless the Project Agreement expressly provides for it.
8.6. Where an immediate intervention is reasonably necessary to protect people or prevent imminent material damage, ReinoSpace may take proportionate emergency measures within its lawful authority and notify the Client promptly.
8.7. ReinoSpace will not undertake structural alterations, remove load-bearing elements or materially alter building systems unless the work is properly scoped and the required professional input and approvals have been addressed.
9.1. Materials will be selected according to the specifications, budget, availability and intended use agreed with the Client.
9.2. Where the Client specifies a brand, model, finish or product, ReinoSpace will use reasonable care to procure the agreed item or notify the Client if it becomes unavailable.
9.3. If a product becomes unavailable, discontinued or subject to a material price increase before procurement, ReinoSpace will propose a suitable alternative or revised price for the Client’s approval.
9.4. No materially different or more expensive substitute will be used without the Client’s approval, except where a limited emergency measure is legally justified and reasonably necessary to address an immediate risk.
9.5. Natural stone, timber, veneer, fabric, paint, tiles and other materials may have normal variations in colour, grain, texture, shade, dimensions or finish. Samples and display images may not exactly reproduce the appearance of every installed item.
9.6. Product warranties, maintenance instructions and manufacturer limitations will be passed on to the Client where available and applicable. ReinoSpace does not promise a manufacturer warranty beyond the terms actually offered by the manufacturer.
9.7. Ownership, risk and responsibility for purchased materials will be determined by the Project Agreement and applicable law. Materials paid for by the Client will be properly accounted for, subject to any valid supplier, storage or security arrangements disclosed in the agreement.
9.8. Where procurement is delayed by supplier shortages, import restrictions, customs processes, exchange-rate changes or transport disruption, the parties will discuss reasonable adjustments to the schedule and any contractually permitted price changes.
10.1. Project timelines will be stated in the quotation or Project Agreement. Any preliminary timeline is an estimate unless expressly agreed as a binding completion date.
10.2. The agreed schedule may be affected by Client approvals, payment delays, access restrictions, unforeseen site conditions, variations, supplier delays, utility interruptions, weather, regulatory approvals or other circumstances beyond reasonable control.
10.3. ReinoSpace will notify the Client of material delays as soon as reasonably practicable, explain the known cause and provide an updated programme where reasonably possible.
10.4. An extension of time will be proportionate to the actual effect of the delay and any reasonably necessary remobilisation or sequencing adjustments, as provided by the Project Agreement.
10.5. ReinoSpace will take reasonable steps to mitigate avoidable delays within its control.
10.6. Delays do not automatically entitle either party to unlimited additional charges, automatic forfeiture of payments or unrestricted termination. Any resulting remedies must follow the Project Agreement and applicable law.
11.1. Projects must comply with applicable federal, state and local laws, building regulations, planning requirements, safety rules and other statutory obligations.
11.2. Depending on the location and scope of the work, approvals or permits may be required from planning, building-control, estate management or other competent authorities.
11.3. The Project Agreement must specify which party is responsible for identifying, applying for, obtaining and paying for each required permit, consent, inspection or professional certification.
11.4. Unless expressly agreed otherwise, the Client remains responsible for authorising access to the property and providing ownership documents or other information that only the Client can reasonably supply.
11.5. ReinoSpace will not knowingly undertake work that requires an approval or professional certification without addressing the applicable requirement. Work that cannot lawfully proceed may be postponed until the necessary approvals are obtained.
11.6. Where ReinoSpace has expressly agreed to manage a permit or approval application, its responsibility is to carry out the agreed application or coordination tasks with reasonable care. Approval by a government authority or third party is not guaranteed.
11.7. The parties will cooperate to comply with applicable building codes, professional registration requirements, environmental obligations and site-safety rules.
11.8. If a competent authority lawfully requires a change to the project, the parties will document the necessary scope, price and schedule adjustments. If the change makes the project materially impracticable, either party may exercise any applicable contractual or legal termination rights.
12.1. ReinoSpace will perform the agreed Services with reasonable skill and care and in accordance with the approved scope, specifications and applicable legal requirements.
12.2. The Client should inspect completed work during the project and promptly report any apparent defect or departure from the agreed specification so that it can be assessed and, where appropriate, corrected.
12.3. At handover, the parties may prepare a written snagging list identifying incomplete items, defects and agreed corrective actions.
12.4. Where a defect is attributable to ReinoSpace’s failure to meet its contractual obligations, ReinoSpace will be given a reasonable opportunity to inspect and remedy it, subject to the urgency and nature of the issue and applicable law.
12.5. The Client should not undertake or authorise unnecessary third-party remedial work before giving ReinoSpace a reasonable opportunity to inspect an alleged defect, except where urgent action is necessary to protect life, safety or property or where the law otherwise permits the Client to act.
12.6. ReinoSpace is not responsible for deterioration or damage caused by misuse, neglect, inadequate maintenance, unauthorised alterations, third-party interference, normal wear and tear, or conditions outside the agreed scope, to the extent that the exclusion is lawful and the cause is not attributable to ReinoSpace.
12.7. Any project-specific workmanship warranty, duration, coverage, exclusions and claim procedure must be stated in the Project Agreement or a separate warranty document.
12.8. Nothing in this section removes any statutory guarantee, consumer remedy or other right that applies by law.
13.1. ReinoSpace will take reasonable precautions appropriate to its agreed scope of work and comply with applicable health and safety obligations.
13.2. The Client must follow site-access restrictions and must not interfere with tools, equipment, temporary barriers, electrical installations or other safety arrangements.
13.3. Renovation work may involve dust, noise, vibration, odours, temporary service interruptions and restricted access to particular rooms or areas. ReinoSpace will take reasonable steps to manage these effects within the agreed scope.
13.4. Before work begins, the parties should agree which areas will remain occupied, whether the property must be vacated, and any arrangements for protecting furniture, valuables, equipment and sensitive business operations.
13.5. Where the site cannot safely remain occupied during particular activities, ReinoSpace may require the affected area to be vacated while those activities are undertaken, subject to applicable law and the Project Agreement.
13.6. Known hazardous materials or suspected asbestos, contaminated materials, unsafe wiring or serious structural concerns must be disclosed and appropriately assessed. Specialist testing, removal and remediation are excluded unless expressly included in writing and undertaken by suitably qualified persons where required.
13.7. Each party remains responsible for its own acts, omissions and legal duties. Nothing in this section transfers a statutory duty that cannot lawfully be transferred.
14.1. The Client should disclose pre-existing damage, fragile finishes, concealed utilities, valuable items and known property defects before work begins.
14.2. ReinoSpace will take reasonable care to protect the Project Site and property within the scope of its work.
14.3. Any claim concerning damage allegedly caused by the project should be reported promptly, with photographs and supporting information where available, so that the circumstances can be investigated.
14.4. Responsibility for loss or damage will be determined by the facts, the Project Agreement and applicable law. No party is automatically liable for every loss occurring at the Project Site merely because it is present there.
14.5. The Project Agreement should identify any required contractor’s all-risk, public liability, workers’ compensation or other insurance, including who must procure the policy and who is covered.
14.6. Neither party may represent that insurance is in place unless the relevant policy has actually been obtained and remains effective.
15.1. The Client may request cancellation or termination by written notice in accordance with the Project Agreement and any applicable statutory rights.
15.2. ReinoSpace may suspend affected work or terminate the Project Agreement where there is a material breach, including persistent non-payment, unlawful instructions, unsafe site conditions, material denial of access or failure to obtain an essential approval, subject to appropriate notice and any applicable opportunity to remedy the breach.
15.3. Where reasonably practicable, the party seeking termination for a remediable breach will give written notice describing the breach and allowing a reasonable period for correction.
15.4. If the project is cancelled or terminated, the parties will account for work properly performed, approved materials purchased, non-cancellable commitments, reasonable demobilisation costs and amounts already paid.
15.5. ReinoSpace may deduct only amounts that are contractually and legally recoverable. Any balance due to the Client will be refunded within a reasonable period after the account is finalised, subject to genuine disputes and applicable law.
15.6. Where ReinoSpace is responsible for a material breach, the Client’s rights to compensation, refund, remedial work or other remedies will be determined by the Project Agreement and applicable law.
15.7. Where a Client cancels because of a material breach by ReinoSpace, ReinoSpace will not treat the cancellation as an ordinary discretionary cancellation for the purpose of imposing charges that would defeat the Client’s lawful remedies.
15.8. On termination, each party will return or account for the other party’s property, confidential information and project materials as reasonably required, subject to lawful retention rights.
15.9. Termination does not affect accrued payment obligations, existing claims or clauses that are intended by their nature to survive termination.
16.1. Refund eligibility depends on the nature of the service, the stage of performance, the applicable contract, the reason for cancellation and any mandatory consumer protection rules.
16.2. Design work already properly completed, materials specifically purchased, supplier commitments and other costs may be taken into account when calculating a refund, provided the relevant deductions are lawful, properly supported and not contrary to the Client’s statutory rights.
16.3. A deposit is not automatically forfeited merely because it is called a deposit. Any retention must have a valid contractual and legal basis.
16.4. ReinoSpace will not use these Terms to remove a Client’s right to complain to a competent consumer protection authority, seek lawful redress or exercise any other non-waivable right.
16.5. Refund requests should be sent to info@reinospace.com with the Client’s name, project reference, payment evidence and reasons for the request. ReinoSpace will assess and respond within a reasonable period.
17.1. The parties will agree a reasonable procedure for inspection and handover appropriate to the project.
17.2. Any known outstanding items should be recorded in writing with a reasonable target date for completion.
17.3. The Client should identify apparent defects during the handover inspection. Signing a handover document confirms the recorded handover status but does not automatically waive latent defects, fraud, statutory rights or claims that cannot lawfully be waived.
17.4. The Client must pay outstanding amounts that are properly due under the Project Agreement, subject to any valid contractual retention, disputed amount or legal remedy.
17.5. ReinoSpace will provide any agreed manuals, care instructions, product information, keys, access items or warranties that form part of the contract and are available at handover.
17.6. The Client is responsible for ordinary maintenance after handover, subject to any agreed maintenance contract, warranty and applicable legal obligations.
18.1. ReinoSpace retains ownership of its pre-existing methods, templates, concepts, design systems, drawings, digital files, artwork, photographs and other intellectual property, except to the extent ownership has been expressly transferred in writing.
18.2. Once the Client has paid the agreed fees in full, the Client receives the licence or ownership rights expressly specified in the Project Agreement for the intended use of the approved design deliverables.
18.3. Unless expressly agreed otherwise, design concepts, drawings, renderings and specifications supplied for a particular project may not be copied, resold, reproduced for another property or supplied to another contractor for unrelated use without ReinoSpace’s written permission.
18.4. No clause in this section overrides the Client’s statutory rights or any written transfer or licence already agreed between the parties.
18.5. The Client warrants that images, logos, artwork, brand assets and other materials supplied to ReinoSpace may lawfully be used for the commissioned project and grants the limited permission necessary to perform the agreed Services.
18.6. ReinoSpace will not knowingly reproduce third-party material in a manner that infringes another person’s intellectual property rights.
18.7. Any commissioned mural, custom artwork or bespoke design must be governed by the agreed scope, usage rights, reproduction rights, attribution arrangements and any applicable artist rights.
19.1. ReinoSpace may wish to photograph or record completed projects for its portfolio, website, social media, case studies and promotional materials.
19.2. Permission to enter a property or perform renovation work does not automatically constitute permission to publish photographs, videos, identifiable individuals, private belongings, addresses, security details or confidential business information.
19.3. Where publication requires consent, ReinoSpace will obtain the appropriate permission before using the relevant identifiable or private material.
19.4. The Client may request that sensitive areas, personal belongings, identifying details or confidential information be excluded from approved project photography.
19.5. Testimonials and endorsements will not knowingly be presented as genuine client statements without a proper basis. ReinoSpace will not invent reviews or materially misrepresent a Client’s experience.
20.1. ReinoSpace may process personal information such as names, contact details, property addresses, project requirements, payment records, photographs and correspondence to respond to enquiries, prepare quotations, deliver Services, administer contracts and meet legal obligations.
20.2. Personal information will be handled in accordance with applicable Nigerian data protection law and the ReinoSpace Privacy Policy.
20.3. Information will be shared with suppliers, contractors, professional advisers, payment providers or authorities only where reasonably necessary for the relevant purpose, authorised by the Client or otherwise permitted or required by law.
20.4. ReinoSpace will take appropriate steps to protect personal information and will handle applicable access, correction, objection, deletion and other data-subject requests in accordance with the law.
20.5. Marketing communications will be handled in accordance with applicable consent and opt-out requirements.
20.6. The separate Privacy Policy explains the categories of information collected, purposes of processing, retention practices, relevant recipients and available privacy rights.
21.1. Website content is provided for general information about ReinoSpace and its Services. It is not, by itself, a binding quotation, engineering assessment, architectural certification or guarantee of a particular project outcome.
21.2. Photographs, renderings, mood boards and project examples are illustrative of design possibilities. Actual results may differ because of site dimensions, lighting, material availability, budgets, existing conditions and approved project specifications.
21.3. Visitors must not use the website to submit unlawful content, impersonate another person, interfere with website security or infringe third-party rights.
21.4. ReinoSpace may update website content, service descriptions and general information. Changes to the website do not retrospectively alter an existing Project Agreement unless the parties agree otherwise.
21.5. ReinoSpace does not guarantee uninterrupted website availability or that every online feature will be free from errors. This does not exclude any liability that cannot lawfully be excluded.
22.1. ReinoSpace may engage suitable subcontractors, tradespeople, suppliers and professional service providers to deliver the agreed Services.
22.2. The Project Agreement will determine whether ReinoSpace is acting as the principal contractor, project manager, design consultant, procurement agent or another type of service provider.
22.3. Where ReinoSpace contracts directly with the Client for the relevant work, it remains responsible for its own contractual obligations and cannot avoid those obligations merely by engaging a subcontractor.
22.4. Where the Client contracts directly with a third-party supplier or professional, responsibility for that separate contract will generally rest with the parties to it, subject to applicable law and any separate written undertaking given by ReinoSpace.
22.5. Third-party products and services remain subject to their applicable terms and warranties, without removing any rights the Client has against ReinoSpace under the Project Agreement or applicable law.
23.1. Each party is responsible for loss caused by its own breach of contract, negligence, unlawful conduct or other actionable wrongdoing, as determined under applicable law.
23.2. To the extent permitted by law, ReinoSpace will not be responsible for losses caused solely by inaccurate information supplied by the Client, unauthorised changes, misuse, inadequate maintenance, third-party interference or circumstances outside ReinoSpace’s reasonable control.
23.3. ReinoSpace will not be liable for a particular loss to the extent that the loss was not caused by its breach or other actionable conduct, or where the law otherwise excludes liability.
23.4. Neither party may recover the same loss more than once. Each party should take reasonable steps to mitigate loss where required by law.
23.5. Any monetary cap on liability must be expressly stated in the applicable Project Agreement, appropriately assessed for the project and consistent with mandatory law. No general cap is created merely by this clause.
23.6. Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury where exclusion is prohibited, deliberate wrongdoing where liability cannot lawfully be excluded, or any statutory liability that applicable law makes non-excludable.
23.7. Nothing in these Terms removes a Client’s statutory consumer rights, lawful remedies for defective services or other mandatory protections.
24.1. Neither party will be treated as being in breach to the extent that performance is prevented or materially delayed by an event beyond its reasonable control, subject to applicable law and the terms of the Project Agreement.
24.2. Such events may include severe weather, flooding, fire, epidemic, government restrictions, civil unrest, major transport disruption, utility failure, supplier interruption or other comparable events that could not reasonably have been avoided or overcome.
24.3. The affected party will notify the other party as soon as reasonably practicable, explain the anticipated effect and take reasonable steps to reduce the impact.
24.4. Payment obligations for Services already properly performed and other accrued obligations are not automatically extinguished by such an event.
24.5. If the disruption continues for a material period and makes the project impracticable, the parties will discuss a reasonable variation, suspension or termination in accordance with the Project Agreement and applicable law.
25.1. A Client who has a concern about a quotation, payment, workmanship, delay, damage or other matter should first contact ReinoSpace at info@reinospace.com or +234 704 700 3681.
25.2. The complaint should identify the Client, project, relevant dates, disputed issue and requested remedy, with supporting photographs or documents where available.
25.3. ReinoSpace will acknowledge and review the complaint within a reasonable period and may request further information or arrange an inspection.
25.4. The parties will attempt in good faith to resolve the dispute through direct discussion. If appropriate, they may agree to mediation or another lawful alternative dispute resolution process.
25.5. Neither party is required to surrender a statutory right or allow an applicable limitation period to expire while discussions are ongoing.
25.6. Where informal resolution fails, either party may pursue remedies before a court or competent tribunal with jurisdiction, subject to applicable law.
25.7. Nothing in this section prevents a Client from making a complaint to the Federal Competition and Consumer Protection Commission or another competent authority where legally entitled to do so.
26.1. These website Terms are governed by the laws of the Federal Republic of Nigeria, subject to applicable mandatory laws.
26.2. A Project Agreement may identify additional applicable state laws or project-specific legal requirements, including those relevant to the location of the property.
26.3. Any court proceedings must be brought before a court of competent jurisdiction under the applicable Nigerian legal framework. The parties do not intend this clause to remove any mandatory jurisdiction, consumer protection or other statutory right.
26.4. Where the parties expressly agree in writing to arbitration or another dispute resolution mechanism for a particular project, that agreement will apply only to the extent it is valid and enforceable under applicable law.
27.1. ReinoSpace may update these website Terms from time to time. The revised version will apply from its stated effective date to activities and agreements to which it lawfully applies.
27.2. An existing Project Agreement will not be changed retrospectively merely because the website Terms are updated.
27.3. For an individual project, the accepted quotation, signed agreement, approved variations and documents expressly incorporated into the agreement will determine the project-specific obligations.
27.4. If a provision of these website Terms conflicts with a project-specific written agreement, the project-specific agreement will prevail for that matter to the extent of the conflict, subject to mandatory law.
27.5. No amendment to a Project Agreement is effective unless made in the manner required by that agreement or applicable law.
28.1. If any provision is held unlawful, invalid or unenforceable, it will be severed or limited to the minimum extent necessary, where legally permissible, without invalidating the remaining provisions.
28.2. A failure or delay by either party to enforce a right does not automatically amount to a permanent waiver of that right.
28.3. Any waiver must be assessed in accordance with the applicable contract and law and does not waive unrelated rights unless expressly stated.
29.1. Neither party may transfer its contractual obligations in a manner that materially prejudices the other party or breaches the Project Agreement or applicable law.
29.2. The Project Agreement and the documents expressly incorporated into it constitute the agreement between ReinoSpace and the Client concerning the relevant Services, replacing earlier discussions on the same subject to the extent permitted by law.
29.3. Nothing in this clause excludes liability for fraud or fraudulent misrepresentation or overrides a right that cannot lawfully be excluded.
29.4. A person who is not a party to a Project Agreement does not obtain contractual rights under it merely by being mentioned in these Terms, except where applicable law provides otherwise.
Formal notices concerning a project should be sent using the contact details stated in the Project Agreement. Where email or another electronic channel is authorised, the sender should retain a copy of the notice and any delivery confirmation.
